Charles E. Knadler

President & CEO

Charles E. Knadler serves as EnerBank's President and CEO, responsible for the overall management of this highly specialized FDIC-insured bank whose only business is unsecured home improvement lending. EnerBank, the only bank in the US to exclusively serve the home improvement lending market, has sustained a strong growth rate, superior asset quality and profitability before, during and after the great recession. He attributes the success of the financial institution to an innovative business plan, high degree of specialization, geographic diversification (EnerBank serves a national market) and responsiveness to the needs of home improvement contractors and the homeowners they serve. He was named to the position on January 1, 2016.

Prior to his current position, Charlie was Executive Vice President and Chief Financial Officer from 2010 through the end of 2015 and Senior Vice President and Chief Credit Officer from 2005 to 2010. His career in financial services started in 1994 and includes experience in sales, credit, compliance and finance. Prior to joining EnerBank, he managed the home improvement credit department at Associates First Capital Corporation.

Charlie previously served as president of the Utah Association of Financial Services and vice-president of the National Association of Industrial Banks. Both organizations have a mission to advocate for policies that expand access to credit, guarantee consumer choice, and provide unique banking services.

Charlie has donated his time and expertise to NeighborWorks Salt Lake for over five years. NeighborWorks Salt Lake works to revitalize neighborhoods house by house, block by block by building on the strength of neighborhoods, creating opportunities through housing and resident leadership, and contributing to the development of the youth and local economy. He has served on their finance committee since 2013, was added to their board of directors in 2017 and currently serves on their executive committee.

Born in Baltimore, Maryland, Charlie earned his undergraduate degree from Brigham Young University and MBA from the University of Utah.

Kristin B. Dittmer is Executive Vice President and Chief Financial Officer of EnerBank USA®, a nationwide provider of unsecured home improvement loans.

Prior to her current position, Kristin served as Executive Vice President of Finance and Credit, and Senior Vice President and Chief Credit Officer from 2010 to 2015. Prior to joining EnerBank, Kristin was the Chief Credit Officer at BMW Bank of North America. She began her banking career as a Financial Examiner with the Utah Department of Financial Institutions. In this capacity, she conducted extensive on-site examinations of both large and small state-chartered community banks, industrial banks, and credit unions.

Kristin serves on the Advisory Board of the Eccles Opportunity Scholars Program at the University of Utah and enjoys mentoring affiliated first-generation college students. Kristin joined the Board of the Utah Bankers Association in 2016 and is honored to be serving as its 2020-2021 Chair. Utah Business Magazine selected Kristin as one of 30 Women to Watch in 2016.

Kristin holds a Bachelor of Science degree in Finance and a Master of Business Administration degree, both awarded by the University of Utah

Robb Kerry is Executive Vice President, Chief Credit Officer & Enterprise Risk Officer of EnerBank USA® and is responsible for all aspects of consumer and commercial credit risk in the bank's portfolio of unsecured home improvement loans. Robb is also responsible for the bank's Enterprise Risk Management program.

Prior to his current position, Robb was at GE Capital Bank where he spent 5 years as the Models and Quantitative Risk Leader, where he oversaw all aspects of credit modeling and portfolio stress testing. Robb has also been Chief Credit Officer at both ADB Bank and Cache Valley Bank. He began his banking career as a Financial Examiner for the Utah Department of Financial Institutions.

Robb received his Master of Business Administration and Bachelor of Arts in Business Administration and Spanish from Weber State University. He also holds the Chartered Financial Analyst® designation. Robb joined EnerBank in 2015.

Rob Palmer is Executive Vice President & Bank Operations Manager for EnerBank USA®, a nationwide provider of unsecured home improvement loans. He has overall responsibility for Operations and IT. Rob also serves as the Chairman of the IT Committee for EnerBank.

Rob has worked for EnerBank since 2012. Prior to joining EnerBank, Rob held various leadership positions in the Financial Services and Technology industries. He has over 20 years' experience delivering people-based, technology-driven solutions.

Rob is a native Floridian. He earned a B.S. in Computer Information Systems from Florida Tech. Outside of work Rob enjoys all of the great Utah outdoor activities with his family and is an avid drummer.

Blaine Bagley is Senior Vice President, Operations of EnerBank USA®, where he manages a team of operations professionals, including client services, collections, contractor support, customer relations, lending and office management. Previously, he was Vice President and Manager of Loan Operations where his responsibilities included the lending and collections departments. Blaine has over 20 years' of banking/collections experience. He joined EnerBank in 2005 after ten years as the Group Vice President and Director of Collections for American Investment Bank, NA, a nationally chartered bank, where he oversaw the operations of the auto and recreational loan portfolios.

Blaine is also active in his local community regularly serving in the youth homeless transition center sponsored by The Volunteers of America. He often attends and supports People Helping People events, Arts, Inc., Children's Services Society and the Utah Non-Profit Association. He is an active member of the Salt Lake Tennis and Swimming Club currently working to improve his tennis game and is a life-long pianist who enjoys playing movie themes and classical arrangements.

Blaine completed his general education and studied Political Science at Utah State University (1989) and holds a degree and certified as a paralegal from Salt Lake Community College (1991). Additionally, he has extensive training through the American Management Association.

Neil R. Fellows is the Senior Vice President, General Counsel, Chief Compliance Officer & Corporate Secretary of EnerBank USA®, a nationwide provider of unsecured home improvement loans. His responsibilities include managing EnerBank's Legal & Compliance Department and serving as Chairman it's CRA and Compliance Committee. Neil has been with EnerBank since 2014.

Prior to joining EnerBank, Neil held various legal positions at CMS Energy Corporation (the parent company of EnerBank) and its affiliates from 1987 to 2013 where he specialized in energy related transactional and regulatory matters.

Neil currently serves as a Director on the Board of Directors of Junior Achievement of Utah. Junior Achievement of Utah was established in 1956 to educate Utah's students in work readiness, entrepreneurship, and financial literacy through experiential, hands-on programs. In 2020 he was named a Corporate Counsel of the Year honoree by Utah Business Magazine.

Neil was born in England and raised in Michigan. He earned a B.S. in Business from Central Michigan University and a J.D. from Wayne State University Law School. He is licensed to practice law in Michigan and Utah.

The CMS Energy Code of Conduct has helped shape the way the bank conducts its business as a good corporate citizen. The new "EnerBank Code of Conduct" continues in this tradition and, while more specifically tailored to the unique role of the bank within the CMS Energy family of companies, incorporates all of the fundamental aspects of the CMS Energy Code of Conduct. Ethical behavior has always been, and will always be, an important part of who we are at EnerBank. The "EnerBank Code of Conduct" is an excellent tool to help understand the types of behaviors expected by EnerBank Management, its Board of Directors and its parent company, CMS Energy Corporation.
